Terms of Service

Please read these Terms of Service carefully before using the GymOS platform. These terms constitute a legally binding agreement between you and GymOS.

1. Acceptance of terms

By creating a GymOS account or using any part of the platform, you agree to be bound by these Terms of Service. If you are using GymOS on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of service

GymOS provides a cloud-based gym management platform including member management, attendance tracking, payment recording, class scheduling, reporting, and related features ("the Service"). The Service is provided on a subscription basis as described on our pricing page.

3. Account registration

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at octspace.com@gmail.com if you suspect unauthorized access.

4. Subscription and billing

GymOS subscriptions are billed on a monthly or annual basis depending on the plan selected. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are not provided for partial billing periods. Failure to pay subscription fees will result in account suspension after a grace period of 7 days. Data is retained for 30 days after suspension before permanent deletion.

5. Acceptable use

You agree not to: • Use the Service to store, transmit, or display illegal content. • Attempt to reverse-engineer, decompile, or extract the source code of the platform. • Use the Service to send unsolicited communications. • Share your account credentials with unauthorized parties. • Use automated tools to scrape or stress-test the platform. • Attempt to gain unauthorized access to other customers' data. Violations may result in immediate account termination without refund.

6. Data ownership

You own all data you upload to GymOS, including your gym members' records. You grant GymOS a limited license to store and process that data solely to provide the Service to you. We will not access, share, or use your gym member data for any purpose other than operating the Service, unless required by law.

7. Uptime and service levels

We target 99.9% monthly uptime for the GymOS platform. Scheduled maintenance windows will be announced with at least 24 hours notice. We are not liable for outages caused by third-party infrastructure providers, internet disruption, or force majeure events.

8. Intellectual property

GymOS and all associated logos, designs, software, and documentation are the intellectual property of GymOS and its licensors. Nothing in these terms grants you ownership of any GymOS intellectual property. You may not use our trademarks, logos, or brand assets without prior written consent.

9. Limitation of liability

To the maximum extent permitted by applicable law, GymOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total aggregate liability to you for any claims arising under these terms shall not exceed the total fees paid by you to GymOS in the three months preceding the claim.

10. Termination

You may terminate your GymOS subscription at any time from your account settings. Upon termination, your access to the Service will end at the close of the current billing period. We may terminate or suspend your account immediately if you materially breach these terms, fail to pay fees, or engage in activity that poses a risk to the platform or other users.

11. Governing law

These Terms of Service are governed by the laws of Nepal. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

12. Changes to terms

We may update these Terms of Service at any time. Material changes will be communicated by email and in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
